Terms and conditions for using StrataGRC services

By accessing and using StrataGRC ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this Service.
StrataGRC is a comprehensive Governance, Risk, and Compliance (GRC) platform designed to help organizations manage their audit processes, assess risks, ensure compliance, and conduct investigations. The Service includes various modules and features as described on our website.
3.1. You are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password.
3.2. StrataGRC cannot and will not be liable for any loss or damage arising from your failure to comply with this security obligation.
3.3. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.
Your privacy is important to us. Please review our Privacy Policy, which also governs your use of the Service, to understand our practices.
5.1. The Service and its original content, features and functionality are and will remain the exclusive property of StrataGRC and its licensors.
5.2. The Service is protected by copyright, trademark, and other laws of both Nigeria and foreign countries.
5.3. You may not modify, reproduce, distribute, create derivative works, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service, except as permitted by these Terms of Service.
6.1. You are responsible for the content you post on the Service, including its legality, reliability, and appropriateness.
6.2. By posting content on the Service, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, and display the content in connection with the Service.
You may not use our Service for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).
You may not:
8.1. We strive to maintain the Service but do not guarantee that our Service will be available at all times.
8.2. We may modify, suspend, or discontinue the Service at any time without prior notice.
8.3. We are not liable for any loss, damage, or inconvenience caused by your inability to access or use the Service.
9.1. StrataGRC offers various subscription plans with different features and pricing levels.
9.2. Payment must be made in advance for the subscription period selected.
9.3. All fees are non-refundable except as required by law.
9.4. We reserve the right to change our prices at any time with 30 days' notice.
10.1. We agree not to make your content available to any third party without your consent, except as required by law.
10.2. You agree not to disclose any confidential information of StrataGRC without our prior written consent.
11.1. In no event shall StrataGRC, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Service.
11.2. Our total liability to you for any cause of action whatsoever, and regardless of the form of the action, will at all times be limited to the amount paid, if any, by you to us during the six-month period prior to the cause of action.
You agree to indemnify and hold StrataGRC and its parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees, harmless from any claim or demand, including reasonable attorneys' fees, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference.
13.1. We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation.
13.2. Upon termination, your right to use the Service will cease immediately.
These Terms of Service and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
We reserve the right, at our sole discretion, to modify or replace these Terms of Service at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.
